Corporate Governance is the system by which organizations are directed, monitored and encouraged, involving the relationships between partners, the board of directors, the board of directors, supervisory and control bodies, and other interested parties, according to the Brazilian Institute of Corporate Governance.

To achieve organizational success, companies need to be accepted in the society in which they operate and act responsibly, ethically and sustainably, in collaboration with their internal and external stakeholders. The inclusion of good governance practice goals in the business strategy is a demonstration of ethical conduct, which aims at the longevity of companies and surrounding communities, promoting employee safety, participating in social and environmental programs.

However, in addition to promoting fair wages, gender equity, valuing partners and respect for human and labor rights, it is necessary to report such advances.

It is by communicating that the company grows and assumes a leadership role!

Governance indicators are important elements for strategic assessment, serving as a basis for future decisions regarding the company’s objectives, providing information to shareholders and collaborators. The elaboration of these documents is increasingly urgent, due to the growing demand of society by companies that are more responsible and transparent in their actions.

Governance indicators are instruments that allow organizations to assess their degree of social and ethical development.

They serve as a practical guide for companies to develop an internal exercise of reflection and improvement of their governance. They strengthen the legitimacy of companies with:

  • More transparent relationships with stakeholders;
  • Fulfillment of its mission;
  • Professionalization and efficiency;
  • Financial sustainability;
  • Accountability and accountability to society.

Among the indicators that attest to good governance practices should include:

  • Activities: executive compensation, management responsibility, shareholder rights, disclosure reports, compliance and management committee actions.

  • Impacts generated: avoid negative financial surprises, reduce reputational risks, align shareholder and management interests, comply with policies for a transparent business environment.
  • Quantitative data: such as the number of sustainable initiatives to which the company is a signatory, fees paid, number of independent directors on the board, top management compensation and even the number of lawsuits against the company.
  • Qualitative data: How does the company’s business model add value to society? What creates value in companies and what sustainability issues are central to these drivers?
